⚠️ PLACEHOLDER - LEGAL REVIEW REQUIRED BEFORE LAUNCH

Effective Date: [DATE]

1. Hosting Relationship

By agreeing to host a Qroodleplayer ("Device"), you ("Host") authorize Qroodles to install the Device at your business location and display advertising and informational content thereon.

2. Internal vs External Advertising

Per Qroodles' patent-protected slider system (US9584863), Host may configure the ratio of internal (Host's own) versus external (third-party) advertising in 25% increments (0%, 25%, 50% default, 75%, 100%).

3. Franchise Acknowledgment

If Host is a franchisee, Host represents and warrants:

  • Host has reviewed Host's franchise agreement
  • Host has authority to install third-party advertising displays (if applicable)
  • Host indemnifies Qroodles against any franchise-related claims arising from Host's participation

4. Compensation

Host shall receive compensation per the published Host Revenue Share schedule, which includes:

  • Passive earnings (25% base of attributable revenue)
  • Referral earnings (when applicable)
  • Performance bonuses (foot traffic, longevity, excellence)

5. Uptime Requirements

Host agrees to maintain the Device in operational condition. Excessive intentional downtime may result in graduated penalties per the published schedule (warning → $25 → $75 → $150 → device removal).

6. Host Cannot

Host shall not:

  • Modify or relocate the Device without authorization
  • Attempt to access platform systems
  • Tamper with content or playback
  • Use the Device for non-Qroodles purposes

7. Termination

Either party may terminate this agreement with 30 days written notice. Hardware loaned by Qroodles must be returned within 14 days of termination.

8. Privacy

Host agrees that the Device collects anonymous motion detection data (no video, audio, or facial recognition) as disclosed to Host's customers via posted notices.
